Samvardhana Motherson unveils MEESL to advance clean mobility electronics

Samvardhana Motherson International Limited (SAMIL) has established a wholly-owned subsidiary, Motherson Egtronics Electronics Solutions Limited (MEESL), on August 22, 2025, following its June 19, 2025, Joint Venture Agreement (JVA) with South Korea’s Egtronics Co., Ltd. Initially incorporated under the Companies Act, 2013, MEESL will be entirely owned by SAMIL, with plans under the JVA to shift ownership to a 51% stake for SAMIL (and its nominees) and 49% for Egtronics.

The new entity will specialize in designing, developing, manufacturing, and assembling vehicle electronics tailored for clean mobility applications. Its product lineup includes DC–DC converters, auxiliary inverters, traction inverters, on-board chargers, power distribution units, and comprehensive integrated solutions for automotive and allied industries. MEESL’s initial paid-up equity capital stands at INR 500,000 (INR Five Lakhs), and as a newly formed company, there is no turnover or historical financial data applicable.

This move aligns with SAMIL’s strategic vision under the JVA to expand its footprint in the global automotive electronics sector, particularly in electric and hybrid vehicle systems. No government or regulatory approvals were required, and the transaction was completed through a cash consideration. There are no related-party interests involved aside from those defined by the JVA.

The announcement was made in compliance with Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, along with the pertinent SEBI Master Circular. SAMIL, headquartered in Noida, Uttar Pradesh, remains committed to growing its presence in emerging automotive technologies.
